1. By registering as a Mobile Money individual account holder for Cellulant mobile Payment services and accepting these terms and conditions and completing the relevant application form, you are hereby registered as a Cellulant mobile payment registered account holder with which to carry out mobile money/payment transactions in the Federal Republic of Nigeria.
2.1 "Cellulant" is the brand name of Cellulant Nigeria Limited mobile payment services.
2.2 "Mobile Money account holder" means a person registered by Cellulant to carry out financial transactions primarily via a GSM mobile phone/device further details of which may be obtained from Cellulant.
2.3 "Authorised User" means an individual registered unto Cellulant's Mobile Money platform and enabled to carry out financial transactions and fulfill all requirements and whose acts and omissions thereof shall be wholly liable.
2.4 "Outlet or Agent Store" means any premises or location thereof from which an Agent operates its business on behalf of Cellulant to carry out financial transactions and offer pre described services and products for its customers.
2.5 "Settlement Bank" means Zenith Bank Plc which is the nominated settlement bank approved by the Central Bank of Nigeria for settlement of all Cellulant transactions. From time-to-time, Cellulant may choose to introduce more Banks as partners to the mobile payment scheme.
2.6 "Customer" means a party to whom Cellulant has agreed to provide the Mobile Payment service pursuant to the conclusion between Cellulant and such party of a Customer Agreement or the purchase of a pre-paid kit or Mobile payment products and services that facilitate the Mobile Payment Service.
2.7 "Mobile Payment" means the electronic payment issued by Cellulant and representing an entitlement to an equivalent amount of cash monies held in trust by the Bank in respect of the purchase of such electronic value.
2.8 "Cellulant mobile payment Services" means the services provided by Cellulant for the issue and redemption of Mobile payment and the transfer of Mobile payment between Customers on the basis of Transfer Instructions including the recording of all Transactions, verifying and confirming all Transactions concluded and updating Customer Account records.
2.9 "Scratch Card'' means cards with concealed PIN numbers of monetary value in various denominations
2.10 "PIN" means Personal Identification Number.
3.1 The customer shall with effect from the effective date, fill in the customer registration form with necessary and correct details in accordance with this Agreement.
3.2 Change default PIN to one of choice and keep it safe from unauthorized use, and desist from acts that would reveal PIN to anyone it must be kept secret. Cellulant will never request for any staff, agent, partner, registered user or other registered user and others different from that earmarked will under no circumstance ask you to reveal your PIN.
3.3 All transaction initiation attempts will not exceed 3 trials after which access will be denied. To activate kindly get in touch with cellulant via its complaints channels.
3.4 Facilitate and fund the account with scratch cards or funds/cash transfer via a branch of Zenith or an authorized agent carrying out such services on behalf Cellulant.
3.5 Initiate electronic transactins by inputed necessary correct details in order to get value.
3.6 Balance in account must be commensurate to value plus appropriate fees in other to initiate and terminate financial transactions successfully at any point in time.
4.1 The customer undertakes, throughout the term of this Agreement:
4.2 Not to reveal his/her PIN
4.3 Consent not to use his/her right to carry out identity and fraud prevention check relating to this application with the Nigerian police or any fraud prevention or security agency.
4.4 Provide regular update regarding the conduct of the account to the credit reference agencies and allowing the credit reference agencies to in-turn make the record and details available to other credit grantors.
4.5 The Agent undertakes not to incur any liability on behalf of Cellulant or to pledge or purport to pledge Cellulant's credit or accept any order on behalf of or bind Cellulant in any way or give or make or purport to give or make any warranty or representation on behalf of Cellulant, save to the extent expressly provided for in terms of this Agreement, or otherwise on the prior written authority of Cellulant. In particular the Agent hereby undertakes:-
4.5.1 Not to negotiate or purport to afford any customer or potential customer any incentives, discounts, leniency, extension of time, latitude, or other indulgence pertaining or relating to the terms and conditions of Customer Agreements concluded or to be concluded between Cellulant and such customer or potential customer unless Cellulant's prior written consent thereto has first been obtained.
4.5.2 Every customer and potential customer that forthwith on activation of the relevant Mobile payment Account the customer shall be liable to effect payment to Cellulant of the relevant fees provided for in terms of the Customer Agreement.
4.5.3 To notify every customer and potential customer of any terms, conditions, provisions and any other additional information which Cellulant may require time to time.
4.5.4 The customer desist from acting in any manner which Cellulant may require from time to time and shall make or desist from making any representations to any customer, potential customer and/or any third parties, as required by Cellulant from time to time.
4.5.5 The Agent acknowledges that Cellulant may at its discretion take any disciplinary action against it for non-compliance with the obligations set out in this terms and conditions.
5.1 Cellulant shall keep and maintain written records detailing:
5.1.1 Any incentives or discounts to which the customer may be or become entitled pursuant to the provisions of this Agreement.
5.1.2 Cellulant reserves the right to vary or apply its discretion to any incentives or discounts due to the customer the commission payable from time to time.
The following details reviews the various dispute resolutions mechanisms employed by Cellulant Nigeria Limited, with references to the various mechanisms of alternative dispute resolution for consumers of it's mobile payment services. The following may be but not limited to causes of disputes:
For all disputes whether pursued in court or arbitration, customers must first give us an opportunity to resolve their claim(s) by sending a written description of their claim. Each party agree to negotiate the claim in good faith. If we are unable to resolve the claim within 60 days after we receive this claim description, the customer may pursue their claim in arbitration. We each agree that if the customer fails to timely pay amounts due, we may assign customer's account for collection, and the collection agency may pursue, in small claims court, claims limited strictly to the collection of the past due amounts and any interest or cost of collection permitted by law or the Agreement.
Whereas, if the arbitration provision applies or the customer chooses arbitration to resolve the disputes, then either the customer or Cellulant may start arbitration proceedings. Customer must send a letter requesting arbitration and describing the claim to our registered agent or directly to Cellulant if the claim originates from our registered agent to begin arbitration.
Regulatory adjudication refers to the legal powers exercised by regulators pursuant to the resolution of the disputes brought before them.
"We each agree that any proceedings, whether in arbitration or court, will be conducted only on an individual basis and not in a class or representative action or as a member in a class, consolidated or representative action. If a court or arbitrator determines in an action between you and us that this class action waiver is unenforceable; the arbitration agreement will be void as to you. if you choose to pursue your claim in court by opting out of the arbitration provision as specified above, this class action waiver provision will not apply to you. neither you, nor any other customer, can be a class representative, class member, or otherwise participate in a class, consolidated, or representative proceeding without having complied with the opt out requirements above."
When you initiate and confirm a transaction on Cellulant Wallet, you agree to be bound by and pay for that transaction. Do not commit to a transaction unless you are ready to pay and have checked that all provided information is accurate as all completed transaction are final.
When you make payment, you authorize us (or our designated payment processor) to charge the full amount and any charges related to that transaction to the payment source you designate for the transaction. If our transaction result in any additional fee, liability for such fees or penalty will rest solely with you.
Cellulant Wallet/Cellulant take reasonable care, in so far as it is in our power to do so, to keep the details of your order and payment secure, but in the absence of negligence on our side; that is, no fault coming from our side (PAYMEE/CELLULANT), PayMee cannot be held liable for any loss you may suffer if a third party procures unauthorized access to any data you provide when accessing or ordering from the Site. As a result of this, Cellulant Wallet/Cellulant will not be obliged to make any refund if a customer pays into a wrong account, also for payments that specifically deals with account funding on Cellulant Wallet platform, there is no "return of product" as you are not paying for a physical product but "funding your account" which is credited real time with the equivalent amount requested.
Given the fact that orders or transactions made on Cellulant Wallet/Cellulant site are in real time, a completed payment made through a card processor can not be cancelled. It means that any order placed is processed and delivered instantly which gives no room for cancellation. You (customer) agree to bear the cost of placing a wrong order.
